Terms of Service

These Terms of Service ("Terms") apply to your use of Brisk, a service operated by JLP Internet Ltd ("Brisk", "we", "us" or "our").
By creating a Brisk account or using the service, you agree to these Terms.
Brisk is designed for use by businesses and organisations and is not intended for personal or consumer use.
1. About Brisk
Brisk is a cloud-based job management platform designed to help businesses manage areas including jobs, employees, scheduling, time records, materials, purchasing, RAMS, forms, documents and invoicing.
We may update, improve or change Brisk over time, including adding, changing or removing features where reasonably necessary as the service develops.
2. Your Account
You must provide accurate information when creating your Brisk account and keep your account information reasonably up to date.
You are responsible for:

Keeping usernames and passwords secure.

Controlling who has access to your Brisk account.

Assigning appropriate licences and permissions to your users.

Removing access when somebody should no longer be able to use your account.

Activity carried out through accounts belonging to your organisation.
You should tell us as soon as reasonably possible if you believe an account or login has been compromised.
The Primary Admin is responsible for the overall management of the Brisk account.
3. Acceptable Use
You must use Brisk only for lawful business purposes.
You must not:

Use Brisk for unlawful, fraudulent or abusive purposes.

Attempt to gain unauthorised access to Brisk, another customer's account or the systems used to provide the service.

Attempt to interfere with, damage or disrupt Brisk or its infrastructure.

Introduce malicious software, viruses or other harmful material.

Use automated processes in a way that places an unreasonable load on the service.

Attempt to copy, reverse engineer or reproduce Brisk except where permitted by law.

Use Brisk to store or distribute content that you do not have the right to use.
We may suspend access where we reasonably believe an account is being used in a way that threatens the security, availability or lawful operation of Brisk.
4. Your Data
You retain ownership of the business information, documents, photographs and other content that you or your users enter or upload to Brisk ("Customer Data").
You give us permission to process Customer Data as necessary to provide, maintain, secure and support the Brisk service.
You are responsible for ensuring that you have the necessary rights and lawful basis to collect, upload and process information you place in Brisk, including personal information relating to employees, customers, subcontractors and other individuals.
Where Brisk processes personal data on your behalf, the applicable data processing terms also apply.
Our handling of personal information is explained further in our Privacy Policy.
5. Data Accuracy and Business Records
Brisk provides tools to help you manage business information, but you remain responsible for reviewing and verifying information entered into or generated by the service.
This includes information such as:

Timesheets and working hours.

Job costs.
-
Materials and purchase orders.
-
Quotes and invoices.
-
VAT and tax information.
-
RAMS and health and safety documentation.

Employee records.
-
Information generated or extracted using AI features.
Brisk does not provide accounting, tax, legal, employment or health and safety advice.
You should check important business, financial, legal and safety information before relying on it.
6. AI and Automated Features
Some Brisk features may use artificial intelligence or automated processing to help extract, classify, summarise or generate information.
AI-generated or AI-extracted information may occasionally be incomplete or incorrect.
You are responsible for reviewing this information before relying on it or using it to create business records, jobs, documents or other actions.
AI features are intended to assist users rather than replace appropriate human review.
7. Third-Party Services and Integrations
Brisk can integrate with third-party services such as accounting platforms, messaging providers, payment services and other external systems.
These services are operated independently from Brisk and may have their own terms, charges and privacy policies.
We cannot guarantee the continued availability or operation of a third-party service or integration.
Changes, outages or restrictions introduced by a third-party provider may affect features within Brisk that rely on that provider.
Where practical, we'll try to adapt Brisk when third-party services make changes, but we aren't responsible for losses resulting from the failure, withdrawal or modification of a third-party service outside our control.
8. Subscription, Licences and Payment
Brisk is provided on a subscription basis.
Your subscription price depends on the licences and any additional services selected for your account.
Current pricing is shown on our website and within Brisk.
Subscription charges are billed through our payment provider.
Where licences are added or removed during a billing period, charges or credits may be calculated on a pro-rata basis where applicable.
Certain optional services, including some messaging, lookup and AI features, may use Brisk credits and are charged separately from normal licence fees.
Additional storage or other optional services may also incur additional charges.
You are responsible for keeping a valid payment method on your account.
9. Price Changes
We may change Brisk's pricing from time to time.
We will provide reasonable notice of changes that affect an existing paid subscription.
Price changes will normally take effect from a future billing period rather than retrospectively.
If you don't wish to continue following a price change, you can cancel your subscription before the new pricing takes effect.
10. Cancellation
You can cancel your Brisk subscription in accordance with the cancellation options available within your account.
Cancellation stops future subscription renewals but does not normally provide a refund for subscription periods already paid for, except where required by law or expressly agreed otherwise.
You remain responsible for any outstanding charges incurred before cancellation.
11. Suspension and Termination
We may suspend or terminate access to Brisk where reasonably necessary, including where:

Subscription fees remain unpaid.

These Terms have been materially breached.

Brisk is being used unlawfully.

An account creates a security risk to Brisk or other users.
-
Continued provision of the service would breach a legal or regulatory requirement.
Where practical, we'll give you reasonable notice and an opportunity to resolve the issue before suspending or terminating an account.
Immediate action may be necessary in cases involving security, fraud, unlawful activity or a serious risk to Brisk or other users.
12. Access to Your Data After Cancellation
Your business should not rely on Brisk as the only permanent copy of information that you are legally or operationally required to retain.
Before cancelling Brisk, you should export or download any information that your business needs to keep.
Following cancellation or termination, access to your account may be restricted and Customer Data may subsequently be deleted in accordance with our data retention policies and applicable law.
Where applicable, our Data Processing Agreement provides further information about the return or deletion of personal data when the service ends.
13. Availability, Maintenance and Updates
We aim to keep Brisk available and reliable, but no online software service can guarantee uninterrupted operation.
Brisk may occasionally be unavailable because of:

Planned maintenance.

Emergency maintenance.
-
Software updates.
-
Bugs or technical faults.
-
Internet or network failures.
-
Hosting or infrastructure problems.
-
Failures affecting third-party services.
-
Circumstances outside our reasonable control.
Where practical, we'll try to minimise disruption and resolve problems promptly.
Unless we expressly agree otherwise in writing, Brisk does not provide a guaranteed level of uptime or service availability.
14. Software Errors and Bugs
We take reasonable care in developing, maintaining and testing Brisk, but software can contain bugs, errors or unexpected behaviour.
We do not guarantee that Brisk will always operate without interruption or error, or that every defect will be identified or corrected immediately.
If you discover a problem, please report it to us so that we can investigate it.
You are responsible for using reasonable business procedures appropriate to the importance of the information or process involved, including reviewing critical information and maintaining appropriate records or backups where necessary.
15. Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to this, Brisk Digital Ltd will not be liable for any:

Loss of profits.

Loss of revenue or sales.

Loss of business.
-
Loss of contracts or business opportunities.

Business interruption.
-
Loss of anticipated savings.
-
Loss of goodwill or reputation.
-
Indirect or consequential loss.
This includes such losses arising from your use of, or inability to use, Brisk, including where caused by software errors, bugs, downtime, interrupted availability or incorrect processing by the service.
Brisk is a business management tool and you remain responsible for the decisions and actions taken by your business using information held in or produced by Brisk.
Subject to the exclusions above and to any liability which cannot legally be limited, our total liability arising out of or in connection with Brisk will not exceed the total subscription fees paid by you to Brisk Digital Ltd during the 12 months immediately preceding the event giving rise to the claim.
16. Data Loss
We take reasonable measures to protect Customer Data and operate appropriate backup and recovery procedures.
However, no cloud service can completely eliminate the risk of accidental loss, corruption or unavailability of data.
You should retain separate copies of information where losing that information would have serious legal, financial, safety or operational consequences for your business.
We will not be responsible for data loss caused by:

Actions taken by you or your users.

Information being deleted or overwritten by an authorised user.

Third-party systems or integrations.
-
Circumstances outside our reasonable control.
Any liability relating to data loss caused by Brisk remains subject to the limitations in these Terms.
17. Security
We take reasonable technical and organisational measures to protect Brisk and the information stored within it.
However, no internet-based service can guarantee absolute security.
You are responsible for maintaining the security of your own devices, networks, email accounts and login credentials.
You must notify us promptly if you become aware of unauthorised access to your Brisk account.
18. Intellectual Property
Brisk, including its software, design, branding, documentation and underlying technology, belongs to Brisk Digital Ltd or its licensors.
Your subscription gives you a limited right to use Brisk for your organisation's normal business purposes while your subscription remains active.
It does not transfer ownership of Brisk or its intellectual property to you.
You may not copy, resell, sublicense or reproduce Brisk except where we have expressly agreed otherwise.
19. Feedback and Suggestions
We welcome feedback and suggestions about Brisk.
If you suggest an improvement, feature or other idea, we may use that feedback to develop or improve Brisk without creating an obligation to compensate you or provide ownership rights in the resulting feature.
You continue to own any Customer Data or other material you provide to us.
20. Changes to Brisk
Brisk will continue to develop over time.
We may add, modify or remove features where reasonably necessary to improve the service, respond to customer needs, maintain security, comply with legal requirements or reflect changes in third-party services.
We'll try to avoid making changes that materially reduce the core functionality of a paid service without reasonable notice.
21. Changes to These Terms
We may update these Terms from time to time.
If we make a material change that affects existing customers, we'll provide reasonable notice.
The latest version of the Terms will always be available on the Brisk website and will show the date it was last updated.
Continuing to use Brisk after updated Terms take effect constitutes acceptance of the updated Terms.
22. Events Outside Our Control
We won't be responsible for a failure or delay in providing Brisk caused by events reasonably outside our control.
These may include internet or telecommunications failures, hosting infrastructure failures, cyberattacks, natural disasters, power failures, industrial disputes, government action or widespread failure of third-party services.
23. General
If any part of these Terms is found to be invalid or unenforceable, the remaining Terms will continue to apply.
A delay in enforcing any part of these Terms does not mean that we waive our right to enforce it later.
You may not transfer your rights under these Terms to another person or organisation without our agreement.
We may transfer our rights and obligations where reasonably necessary as part of a reorganisation, sale or transfer of the Brisk business, provided this does not materially reduce your rights under these Terms.
24. Governing Law
These Terms are governed by the laws of Scotland.
The Scottish courts will have jurisdiction over disputes arising from or relating to these Terms.
